AI training data partnerships for startups winding down or being acquired

When a startup closes, pivots or is acquired, its codebase, product specs and years of tickets and discussions often go unused. That record of building a real product, including the mistakes, can be useful for training AI models that write code and plan software. Momentra helps founders assess whether those assets might qualify, starting with the question of who actually owns them.

Can startups winding down or being acquired license or sell their data for AI training?

Startups winding down or being acquired may license or sell their codebase and product history as AI training data. Source code with full commit history, issue trackers linked to code and product specs are the most valuable assets. The IP belongs to the company, so the board, liquidator or investors may need to approve a sale.

No files needed upfront. We sign an NDA before reviewing any sample.

Data startups winding down or being acquired hold that AI can learn from

Source code with full commit history

A real product codebase with commits, branches and pull request discussions shows how software evolves. History is often more valuable than the final snapshot.

Issue trackers and sprint history

Jira, Linear or GitHub issues linked to the code that resolved them show how bugs were found and features planned.

Product docs and PRDs

Specs, architecture decisions and post-mortems record the reasoning behind what was built and what was dropped.

Internal discussions

Engineering and product channels in Slack, with personal content removed, capture how a team made decisions together.

Test suites and CI history

Tests and build logs provide verifiable signals that make code data more useful for training.

What this data helps AI models learn

Coding agents

Issues paired with the commits that fixed them can help train agents to solve realistic software tasks.

Software planning

PRDs and architecture docs linked to their implementation can teach models how specs become working systems.

Learning from failure

Post-mortems, reverted changes and abandoned features show what did not work, which is rarely captured in public code.

Privacy and compliance, handled first

You decide what is in scope, nothing moves before an NDA, and data is anonymized before any further use.

Who owns the IP

Code and docs belong to the company, not the founders personally, unless assigned otherwise. In a wind-down, the board, liquidator or investors may need to approve a sale; in an acquisition, the assets may already belong to the acquirer.

Customer and user data

Production databases, user records and customer files must be excluded. Only code, docs and internal records with personal details removed should be in scope.

Third-party code and secrets

Licensed dependencies, contractor work without proper assignment, API keys and credentials need to be identified. Secrets are removed and licensing is reviewed before transfer.

How a partnership begins

01 / CONTACT

Share Basic Information

Share only your contact, company, industry, and partnership interests—no raw data required.

02 / DISCOVER

Initial Value Assessment

We discuss the data type, completeness, scarcity, and the tasks it could support.

03 / PROTECT

Define the NDA and Boundaries

Before reviewing any sample, we define confidentiality, permitted use, retention, and security requirements.

04 / PARTNER

Receive an Offer and Begin the Partnership

We provide a purchase proposal and contract, then support de-identification and secure data transfer.

Frequently asked questions

Can I sell my startup's code if the company is shutting down?
Possibly, but the company, not you personally, usually owns it. Depending on the stage of wind-down, the board, shareholders or a liquidator may need to approve. Get legal advice before agreeing to anything.
We are being acquired. Can we license the codebase first?
Check the acquisition agreement and any exclusivity or no-shop terms. Selling or licensing assets during a deal usually needs the acquirer's consent and should be disclosed.
What if contractors wrote some of the code?
Confirm that IP assignment agreements were signed. Code without clear assignment may need to be excluded or require permission from those contractors.
Is a failed product's code worth anything?
It can be. Commercial success does not decide training value; completeness, history and test coverage matter more. Momentra will tell you honestly whether it is likely to qualify.
